Terms of Service

1. Agreement to Terms

By accessing or using GreenScapesOS ("the Service," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

GreenScapesOS is operated by GreenScapes LLC. These Terms apply to all users, including operators who create accounts and any crew members or clients who access operator-shared content.

2. Description of Service

GreenScapesOS is a business management platform for lawn care and landscaping operators. The Service includes estimate building, invoicing, job scheduling, equipment tracking, crew management, compliance recordkeeping, and related tools ("Features").

Features vary by subscription tier. We reserve the right to modify, add, or remove Features at any time.

3. Account Registration

You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

GreenScapesOS does not support accounts for minors (under 18). If we learn that a minor has created an account, we will terminate it.

4. Subscriptions and Billing

Paid plans are billed on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds are provided at our discretion. Credits purchased are non-refundable unless required by applicable law.

5. Stripe Connect (Operator Payments)

If you use Stripe Connect to collect payments from your clients, you agree to Stripe's Connected Account Agreement and Stripe's Terms of Service, in addition to these Terms. You are solely responsible for your compliance with applicable payment processing laws.

GreenScapesOS does not hold funds, issue refunds on your behalf, or assume liability for payment disputes between you and your clients.

6. Chemical Application Logs

GreenScapesOS provides tools to assist with pesticide application recordkeeping. You are solely responsible for compliance with all applicable federal, state, and local pesticide application laws, including but not limited to FIFRA recordkeeping requirements. The Service provides no guarantee of legal compliance. Consult a licensed attorney or compliance professional for guidance.

7. User Content and Data

You retain ownership of all content you upload or create through the Service ("User Content"), including client records, estimates, invoices, photos, and application logs. By using the Service, you grant GreenScapesOS a limited license to store, process, and display your User Content solely to provide the Service.

You are responsible for backing up your data. We are not responsible for data loss due to circumstances outside our control.

8. Prohibited Conduct

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) reverse engineer or copy the Service; (d) transmit any malicious code; (e) use the Service to harass, abuse, or harm any person; (f) misrepresent your identity or affiliation; (g) use automated tools to scrape or extract data.

9. GreenScapes Exchange

The GreenScapes Exchange is a peer-to-peer equipment marketplace. GreenScapesOS does not take title to any equipment, is not a party to any transaction, and makes no warranties regarding the condition, accuracy of listings, or suitability of equipment listed by third parties. All transactions are between the buyer and seller.

Trade-in quote requests are non-binding. Neither operators nor dealers are obligated to complete any transaction.

10. Ambassador Program and Commissions

GreenScapesOS operates an ambassador referral program. Ambassadors earn commissions based on active paying subscribers they refer. Commission rates, tier structures, and payout eligibility are set by GreenScapesOS and may be updated with notice.

Ambassadors who receive $600 or more in aggregate annual payments from GreenScapesOS may be subject to IRS 1099-NEC reporting. Ambassadors are responsible for their own tax obligations on commissions received. GreenScapesOS will request a Tax ID (EIN or SSN) before issuing any payment once the $600 threshold is approached. Providing false tax identification information is a violation of these Terms and applicable law.

Ambassador status is granted at the sole discretion of GreenScapesOS and may be revoked at any time. Referral tracking is based on the ?ref= parameter captured at account registration. GreenScapesOS is not responsible for referral credits lost due to cookies being cleared, link-sharing errors, or other tracking failures outside our control.

11. Crew Member Link Code Access

Operators may generate link codes to provide field crew members with limited, anonymous access to job schedules, equipment lists, and clock-in functionality via a device browser. Crew members do not create full GreenScapesOS accounts — they authenticate anonymously using a unique operator-generated code.

The operator is solely responsible for the actions of crew members accessing the Service through link codes issued by the operator. Operators must revoke or invalidate link codes when a crew member is no longer authorized. GreenScapesOS is not liable for unauthorized access resulting from an operator's failure to invalidate codes.

Clock-in and clock-out records entered by crew members via link code access are stored under the operator's account. Operators are responsible for the accuracy of timekeeping data and compliance with applicable wage and hour laws.

12. Receipt Scanning and AI-Assisted Data Extraction

GreenScapesOS provides an AI-assisted receipt scanning feature ("Receipt OCR") that uses image recognition to extract vendor, date, amount, and category data from uploaded receipt images. This feature is provided as a convenience tool only.

Extracted data may be inaccurate, incomplete, or misclassified. You are solely responsible for reviewing and correcting all AI-extracted data before saving. GreenScapesOS is not liable for errors in expense records, tax filings, or financial reporting resulting from reliance on AI-extracted receipt data.

Receipt images you upload are transmitted to an AI processing service (Anthropic Claude API) for analysis. Images are not retained by the AI processor after the response is returned. See the Privacy Policy for details.

13. GPS and Route Tracking

GreenScapesOS may collect GPS and location data to support route building, drive time estimation, and client property mapping. Location data collection requires your explicit consent, which you may grant or revoke at any time through the app settings or your device's location permissions.

Route optimization suggestions are generated using third-party mapping services (Google Maps). GreenScapesOS is not liable for any route decisions you make, including safety, legality, or efficiency of routes suggested. You are solely responsible for compliance with traffic laws and safe driving practices.

Client property coordinates stored by GreenScapesOS are derived from addresses you enter and are used solely to provide mapping features within the Service. This location data is never sold or shared with third parties except as necessary to provide the mapping functionality (e.g., Google Maps API calls).

14. Savings Allocation and Equipment Replacement Funds

GreenScapesOS includes a savings allocation feature that calculates suggested amounts to set aside for equipment maintenance and replacement based on job revenue and operator-configured settings. These calculations are for informational and planning purposes only.

GreenScapesOS never moves, holds, transfers, or manages money on your behalf. All financial figures shown in savings and allocation features are tracking suggestions only. No funds are automatically transferred to any account. You are solely responsible for your financial decisions, including whether and how to act on savings suggestions.

GreenScapesOS is not a financial advisor, bank, or money services business. Nothing in the Service constitutes financial advice.

15. Equipment Financial Intelligence and ROI Tracking

GreenScapesOS provides equipment financial intelligence features including cost-per-hour calculations, revenue attribution, ROI estimates, and maintenance fund projections. All calculations are based entirely on data you enter into the platform — including equipment purchase prices, hours used, and job revenue figures.

All financial intelligence outputs are estimates based on operator-entered data. GreenScapesOS makes no warranty regarding the accuracy of these calculations and is not liable for business decisions made in reliance on them. Equipment hour tallies accumulate from job logs and may not reflect actual hours of use if job logs are incomplete or inaccurate.

Trade-in valuations suggested through equipment intelligence features are estimates only and do not constitute offers from any dealer or buyer.

16. Autonomous Mower Support

GreenScapesOS supports logging and tracking of autonomous mowing equipment as part of the equipment management module. Operators may record coverage specifications, charge times, cost-per-acre estimates, and manufacturer API credentials for autonomous mowers.

GreenScapesOS does not control, operate, or communicate with autonomous mowing equipment. Any manufacturer API credentials stored by operators are stored at the operator's own risk. GreenScapesOS is not liable for equipment malfunctions, property damage, bodily injury, or any other harm arising from the operation of autonomous mowing equipment. Operators are solely responsible for safe deployment, supervision, and compliance with applicable laws governing autonomous equipment operation.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENSCAPESOS AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100.

19. Indemnification

You agree to indemnify and hold harmless GreenScapesOS and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law.

20. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your data before cancellation. We may retain data as required by law.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of [STATE], without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

22. Changes to Terms

We may update these Terms at any time. We will provide notice of material changes via email or in-app notification. Your continued use of the Service after changes become effective constitutes your acceptance.
